Investment in Bank Degroof 11-10-2007

Joint press release: Banque Degroof, Compagnie du Bois Sauvage, Ventos
As part of the restructuring of its portfolio of participating interests, Ventos S.A., a Luxembourg holding company listed on the Luxembourg stock exchange, has decided to sell its participating interest of 5.5% (400,000 shares) in Banque Degroof.
Ventos has sold its complete participating interest, in equal proportions, to the management of Banque Degroof and, in consultation with the latter, to the Compagnie du Bois Sauvage, for a total amount, of €78.7 million.
This will reinforce the stable shareholder structure of Banque Degroof, thereby facilitating the ongoing implementation of the bank's strategy.
Once this operation has been completed, the managerial structure of Banque Degroof - around Guimard Finance S.A. - will have consolidated its controlling interest (to 48.9%) and Compagnie du Bois Sauvage will own 17.3% of Banque Degroof.
This operation is subject to approval by the regulatory authorities.
